Please read these Terms of Service carefully before using the A1-PaymentGateway service.

Important: By accessing or using the A1-PaymentGateway service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our service.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "you," or "your") and A1-Soft Company ("A1-Soft," "Company," "we," "us," or "our"), the operator of the A1-PaymentGateway service ("Service"). By creating an account, accessing, or using any part of the Service, you expressly agree to be bound by these Terms and all applicable laws and regulations.
If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, "you" and "your" shall refer to both you as an individual and the entity you represent.
We reserve the right to modify, update, or revise these Terms at any time without prior notice. Any changes will be effective immediately upon posting on this page with an updated "Last Updated" date. Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.
If you do not agree with any modifications to these Terms, your sole remedy is to discontinue use of the Service and close your account. Continued use of the Service following the posting of changes will constitute your binding acceptance of those changes.
2. Description of Service
A1-PaymentGateway is a commercial, multi-tenant payment gateway and orchestration service that enables merchants to connect their websites to banks and payment service providers to collect payments. The Service uses smart routing, multiple payment methods and two-tier split settlement.
2.1 Core Features
The Service provides, but is not limited to, the following features:
- Local & Global Methods: KNET, Mada, Benefit, NAPS and Fawry alongside cards with 3DS2, SEPA, iDEAL and Klarna.
- Smart Transaction Routing: Routing each transaction to the best bank or provider for the highest approval rate.
- Multiple Integration Options: Hosted checkout, an SDK/widget or a direct API that integrates with your site.
- Two-Tier Split Settlement: Splitting the platform commission and the merchant amount by percentage across beneficiaries and accounts.
- White-Label Merchant Dashboard: Manage transactions, settlements and API keys per tenant.
- PCI-DSS Compliant Security: Cardholder-data protection via A1 Guard and TLS/mTLS connections from A1SSL.
2.2 Subscription and Licensing
The Service is offered through subscription plans: Monthly, Yearly, and Lifetime. Your license is tied to your account and permits use across a number of sites according to your plan. Subscriptions renew automatically unless cancelled before the start of the next billing cycle. Prices are subject to change with reasonable notice to existing subscribers.
2.3 Service Availability
While we strive to maintain high availability of the Service, we do not guarantee uninterrupted, error-free, or continuous access. The Service may be subject to scheduled maintenance, updates, or temporary interruptions, and the processing of some transactions may be affected by outages or policies at banks and payment service providers.
3. Account Registration and Responsibilities
3.1 Account Creation
To use the Service, you must register for an account by providing accurate, current, and complete information. You agree to update your account information promptly to keep it accurate and complete. Providing false, misleading, or outdated information may result in the immediate suspension or termination of your account.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, including your password and license tokens. You agree to:
- Use a strong, unique password for your account and change it periodically.
- Not share your account credentials with any third party.
- Notify us immediately at it@a1-soft.com if you suspect any unauthorized access to or use of your account.
- Accept full responsibility for all activities that occur under your account, whether or not authorized by you.
3.3 Site Licensing
Each site on which you use the Service is registered under your license with its own API keys. You are responsible for ensuring that the Service is connected only to sites that you own or are authorized to manage, within the number permitted by your plan, and for keeping your API keys confidential.
3.4 Compliance with Local Law
You represent and warrant that you will use the Service in compliance with all applicable laws and regulations in your jurisdiction, including card-network rules, anti-money-laundering, know-your-customer requirements and the PCI-DSS standard. You are solely responsible for ensuring that your business and products are lawful.
4. No Warranty of Transaction Approval
Critical Notice: A1-Soft does not guarantee that every transaction will be approved, that every bank will accept it, or that every payment method will be available at all times. The decision to approve or decline rests with the banks, payment networks and fraud systems.
4.1 Transaction Approval
An issuing bank, payment network or fraud engine may decline any transaction. While we use smart routing and multiple payment methods, we do not guarantee that every transaction will be approved or that every settlement will complete by a particular time. The availability of payment methods may change without notice due to factors outside our control.
4.2 Factors Outside Our Control
The processing of your transactions depends on numerous factors outside our control, including but not limited to:
- Approval/decline decisions and limits at issuing banks and payment networks.
- The quality and stability of your site's and servers' internet connection.
- Regulatory restrictions and financial requirements in your location.
- The availability and operational status of payment service providers and bank settlement timelines.
5. Limitation of Liability
Please read this section carefully. It limits our liability to you.
5.1 General Limitation
To the maximum extent permitted by applicable law, A1-Soft Company, its officers, directors, employees, agents, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, revenue, business opportunities, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.
5.2 Specific Exclusions
Without limiting the generality of the foregoing, A1-Soft Company shall have no responsibility or liability whatsoever for:
- Declined Transactions: Any decline or failure to process a transaction by banks or payment networks, regardless of the cause.
- Merchant Misuse: Any consequences arising from your use of the Service in violation of the local law or card-network rules.
- Third-Party Actions: Any actions or disruptions caused by third-party services, including banks, payment service providers and hosting providers.
- Business Losses: Any loss of business, revenue, or reputation resulting from service downtime, declined transactions, or chargebacks.
- Downtime: Any period during which the Service is unavailable, whether due to maintenance, technical issues, external attacks, or any other cause.
5.3 Maximum Liability
In no event shall our total aggregate liability to you for all claims arising out of or related to the Service exceed the total amount you have actually paid to A1-Soft Company for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not made any payments, our maximum aggregate liability shall be limited to one hundred US dollars (USD $100.00).
6. Warranty Disclaimer
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, A1-Soft Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
- Implied Warranties: Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- Approval: Any warranty that the Service will ensure approval of every transaction or acceptance by every bank.
- Reliability: Any warranty that the Service will be accurate, reliable, error-free, or uninterrupted.
- Compatibility: Any warranty that the Service will be compatible with your specific website platform, system, or configuration.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions shall apply to the maximum extent permitted by applicable law. You expressly acknowledge and agree that your use of the Service is at your sole risk.
7. Payment and Refund Policy
7.1 Payment Processing
All payments for the Service are processed through a third-party payment processor. By making a payment, you also agree to the payment processor's terms of service and privacy policy. A1-Soft Company does not directly store your card details; all payment data is handled securely by the payment processor in compliance with applicable payment card industry standards.
7.2 Pricing and Subscription
The Service is offered under Monthly, Yearly, and Lifetime plans. Prices are subject to change at any time, with reasonable notice provided to existing subscribers. Any price changes will take effect at the start of your next billing cycle following the notice of the change.
7.3 Refund Policy
- Limited Refund Window: If you have paid for a subscription, you may request a refund within fourteen (14) days of the payment date, subject to reasonable usage. After this period, no refunds will be provided.
- Lifetime Plans: Lifetime purchases are subject to the same fourteen (14) day window from the date of purchase.
- Technical Issues: If you experience a verifiable technical issue that prevents you from using the Service entirely, and our support team is unable to resolve the issue within a reasonable timeframe, we may, at our sole discretion, offer a prorated refund or account credit.
7.4 Chargebacks and Disputes
If you initiate a chargeback or payment dispute with your bank or payment provider without first contacting our support team, we reserve the right to immediately suspend your account until the dispute is resolved. Fraudulent chargebacks may result in permanent account termination and pursuit of legal remedies.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including but not limited to its software, code, design, graphics, logos, trademarks, and documentation, is the exclusive property of A1-Soft Company and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or disassemble any part of the Service without our prior written consent.
8.2 Your Feedback
If you provide us with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you hereby grant A1-Soft Company an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into the Service or any other products or services without any obligation to you.
9. Prohibited Uses
You agree not to use the Service for any of the following purposes:
- Any illegal, fraudulent, or malicious activity, including but not limited to phishing, impersonation, or distribution of malware.
- Hacking, intruding into, or launching attacks against networks or servers you do not own.
- Using the Service to send unsolicited communications or spam.
- Reselling, sublicensing, or redistributing the Service without our prior written consent.
- Interfering with or disrupting the Service, its servers, networks, or any connected systems.
- Attempting to circumvent access controls, usage limits, or security measures of the Service.
- Sharing your account credentials or license with persons beyond your permitted device count.
- Violating any applicable local, state, national, or international law or regulation.
Violation of any of these prohibitions may result in immediate account suspension or termination, and we reserve the right to pursue any available legal remedies.
10. Privacy and Data Collection
Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. A1-PaymentGateway is PCI-DSS compliant and minimizes data to what is needed to process and settle payments securely.
11. Service Modifications and Termination
11.1 Service Modifications
A1-Soft Company reserves the right to modify, update, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
11.2 Account Termination by User
You may terminate your account at any time by contacting our support team at it@a1-soft.com. Upon termination, your access to the Service will be revoked, and your data will be handled in accordance with our Privacy Policy.
11.3 Account Termination by A1-Soft
We reserve the right to suspend or terminate your account at any time, with or without cause, for any reason including but not limited to:
- Violation of these Terms of Service.
- Engaging in prohibited uses as described in Section 9.
- Non-payment of applicable fees.
- Receipt of a valid legal request, court order, or law enforcement directive.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Kuwait, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts located in the State of Kuwait.
12.2 Dispute Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute by contacting us at it@a1-soft.com. We will attempt to resolve the Dispute informally within thirty (30) days.
13. General Provisions
13.1 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and A1-Soft Company regarding the Service, superseding all prior agreements, understandings, negotiations, and discussions, whether written or oral.
13.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
13.3 Force Majeure
A1-Soft Company shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, power failures, internet outages, or failures of third-party services.
